Terms of Service – Oddle Email Marketing

Introduction
These Terms and Conditions govern the use of Oddle’s Email Marketing Subscription Plans and Broadcast Credit Packages (collectively, the “Email Services”). By subscribing, purchasing, or using the Email Services, you agree to comply with these terms. These Terms are specific to Oddle Email Marketing and are subject to the overarching Master Agreement governing your use of Oddle’s services. In case of any conflict, the Master Agreement shall prevail.

Acceptable Use of Email Services
By using the Email Services, you agree to the following (“Email Services Requirements”):
- You will only send emails to recipients who have explicitly opted in to receive messages from you.
- You will not use purchased, rented, or third-party email lists.
- You will not send emails to generic or role-based addresses (e.g., info@domain.com or webmaster@domain.com).
- Every email must include:
- A working “unsubscribe” link that allows recipients to opt out;
- Your valid physical mailing address;
- A link to your current privacy policy.
- You will not manipulate headers, sender names, or subject lines in a misleading or deceptive manner.
- You will not include content that violates applicable laws, including but not limited to content that is obscene, defamatory, hateful, infringing, or related to gambling, terrorism, or illegal activities.
- You will not send emails that encourage recipients to forward chain messages or incentives.

Compliance and Content Monitoring
- Oddle reserves the right to monitor outbound emails for compliance, including scanning content for spam, phishing, or other prohibited material.
- Oddle may suspend or terminate your access to the Email Services if non-compliance is suspected or confirmed.
- You are solely responsible for understanding and complying with all applicable laws (e.g., CAN-SPAM, GDPR, PDPA).
- You will use reasonable efforts not to send sensitive personal data through the Email Services (e.g., health, religious, political, or racial information).

Third-Party Providers
Oddle’s Email Services utilize third-party providers, including Postmark (a service by ActiveCampaign). Your use of the Email Services is subject to Postmark’s Terms of Use, as it may be amended by Postmark from time to time.

Monthly Subscription Plans
Oddle’s Monthly Subscription Plans are billed on an anniversary basis, starting from the date your subscription begins. Each plan includes:
- A fixed number of broadcast credits issued at the start of each billing cycle
- Credit rollover support, with a maximum total balance capped at 4× your monthly plan limit
- Unlimited sender profiles and customer contacts
- Customer targeting with segments and filters
- Access to ready-made, restaurant-friendly email templates
- Performance tracking and analytics
- Credits usable across all brands in your Oddle account

Credit Packages
Oddle also offers one-time Broadcast Credit Packages with no expiration date. These packages include:
- Permanent credits with no expiry
- Unlimited sender profiles and customer contacts
- Advanced targeting and filtering
- Performance analytics
- Usability across all brands in your Oddle account

Credit Usage and Rollover
- All merchants are automatically enrolled in credit rollovers from their next billing date.
- Credit rollovers allow you to carry forward unused credits from your monthly subscription or credit top-ups, as long as your subscription remains active.
- At the start of each billing cycle, your total credit balance — including new monthly credits and any rolled-over or top-up credits — will be capped at 4× your monthly plan limit. If your balance exceeds this cap, it will be adjusted down to the limit.
- Credits can only be used while your subscription is active. If your subscription ends or is cancelled, any remaining credits — including rolled-over and top-up credits — will no longer be available.

Overages
- If you exhaust your available credits, additional credits will be automatically topped up in increments of 1,000 credits to ensure uninterrupted email sending.
- Overages are charged based on your plan’s overage rate per 1,000 credits.
- Overages will be included in the next billing cycle’s invoice.

Billing & Payments
- Subscription Plans: Billed in advance on a recurring anniversary basis, starting from the date your subscription begins. For example, if you subscribe on the 10th of the month, billing will recur on the 10th of each subsequent month.
- Credit Packages: Billed immediately at the time of purchase.
- Overage charges: Billed in the next billing cycle following the credit usage.
- All charges will be processed through your registered payment method.
- Credits are accessible only with an active, paid subscription.

Upgrades, Downgrades, and Cancellations
- Upgrades: Can be requested at any time. However, changes will only take effect at the start of your next billing cycle. Additional credits from the upgraded plan will be applied when the new cycle begins.
- Downgrades: Take effect at the start of your next billing cycle. Existing credits remain valid, subject to rollover limits.
- Cancellations: You may cancel anytime. Your subscription remains active until the end of the current billing cycle. Any unused credits will no longer be available once the subscription ends.

Modifications to Terms
Oddle reserves the right to update these Terms and Conditions at any time. Changes will be posted on our website. Continued use of the service after such changes constitutes acceptance of the revised Terms.
