Terms of Service – Enrolment & Rewards

Effective as of 15 January 2026

These Enrolment & Rewards Terms (“Product Terms”) supplement the Oddle Terms of Service (“Platform Terms”) and govern your use of Oddle’s enrolment and rewards products. By using Oddle’s enrolment and rewards features, you agree to be bound by both these Product Terms and the Platform Terms. The Platform Terms are incorporated herein by reference. In the event of any inconsistency between these Product Terms and the Platform Terms concerning enrolment and rewards products, these Product Terms shall prevail.

1. SERVICE DESCRIPTION

  1. Oddle’s enrolment and rewards products (“Enrolment & Rewards Products”) provide you with tools to create and manage member enrolment and rewards programmes at your Merchant Restaurant(s). The Enrolment & Rewards Products may include:

    1. customer enrolment and membership registration;

    2. points accumulation and tracking (where enabled);

    3. rewards creation and redemption management (where enabled);

    4. member tiers and segmentation (where enabled);

    5. programme communications and notifications to Members; and

    6. reporting and analytics on programme performance and member activity.

  2. We may modify, update, or discontinue any feature of the Enrolment & Rewards Products at any time. We will use reasonable endeavours to notify you of material changes that may affect your use of the Enrolment & Rewards Products.

2. LOYALTY PROGRAMME AND CUSTOMER RELATIONSHIPS

  1. Your programme

    1. You may create and operate one or more loyalty programmes through the Platform (“Loyalty Programme”). You are solely responsible for the design, operation, and management of your Loyalty Programme, including:

      1. establishing the terms and conditions of your Loyalty Programme;

      2. determining how points are earned and the earn rate for qualifying purchases (where points accumulation is enabled);

      3. setting redemption thresholds and reward values (where rewards are enabled);

      4. determining point expiry periods (where points accumulation is enabled); and

      5. establishing member tier structures and benefits (where member tiers are enabled).

    2. You acknowledge and agree that our provision of the Enrolment & Rewards Products is to provide a technological platform and that:

      1. we are not party to any agreement between you and your customers who enrol in your Loyalty Programme (“Members”). It is your sole responsibility to communicate your Loyalty Programme terms and conditions to Members;

      2. we are not responsible for the fulfilment of any rewards, benefits, or promises made under your Loyalty Programme; and

      3. we have no obligation to verify the identity and/or conduct of any Member. Any verification we may conduct does not constitute any endorsement, guarantee or certification that any Member is safe, trustworthy and/or reliable.

  2. Programme communications

    1. You are solely responsible for all communications relating to your Loyalty Programme, including:

      1. notifying Members of programme terms, conditions, and any changes thereto;

      2. where applicable, communicating points balances, rewards availability, and redemption options;

      3. informing Members of any modifications to programme features, including earn rates, redemption values, or programme structure (where applicable); and

      4. notifying Members if you discontinue or materially change your Loyalty Programme.

    2. We may, on your behalf, send transactional communications to Members relating to enrolment confirmations and, where applicable, points updates and reward redemptions. You authorise us to send such communications and are responsible for ensuring the accuracy of the information contained therein.

3. MEMBER ENROLMENT

  1. Enrolment process

    1. The Platform allows customers to enrol in your Loyalty Programme (“Enrolment”). You are responsible for:

      1. clearly communicating the benefits and terms of membership prior to Enrolment;

      2. obtaining all necessary consents from customers for Enrolment, including consent to receive communications and consent for data collection and processing;

      3. ensuring Enrolment processes comply with applicable laws and regulations; and

      4. verifying Member eligibility where your Loyalty Programme has eligibility requirements.

  2. Member information

    1. During Enrolment, you may collect personal information from Members, including names, contact details, date of birth, and preferences (“Member Information”).

    2. You shall only collect Member Information that is necessary for the operation of your Loyalty Programme and in compliance with applicable data protection laws.

    3. You are responsible for the accuracy and completeness of Member Information and shall provide Members with the ability to update their information.

4. POINTS AND REWARDS

This Section 4 applies only where points accumulation and/or rewards features are enabled for your Loyalty Programme. If these features are not enabled, this Section 4 shall not apply.

  1. Points accumulation

    1. Where points accumulation is enabled, Members may earn points when making qualifying purchases at your Merchant Restaurant(s) in accordance with your Loyalty Programme terms.

    2. You are solely responsible for:

      1. determining which purchases qualify for points accumulation;

      2. setting and communicating the points earn rate;

      3. excluding any items or categories from points eligibility and notifying Members of such exclusions; and

      4. ensuring points are accurately credited to Member accounts.

    3. Points may only be earned on completed transactions. If a Member initiates a refund, chargeback, or return, you may revoke points associated with that transaction.

  2. Points characteristics

    1. Points earned through your Loyalty Programme:

      1. have no cash value and cannot be exchanged for cash;

      2. are not transferable between Members unless expressly permitted by your Loyalty Programme terms;

      3. cannot be sold, bartered, or otherwise transferred for value; and

      4. may expire in accordance with your Loyalty Programme terms, provided such expiry is clearly communicated to Members.

  3. Rewards and redemption

    1. You are solely responsible for:

      1. creating and defining rewards available for redemption;

      2. setting redemption thresholds and point values for rewards;

      3. ensuring rewards are available and can be fulfilled when redeemed by Members;

      4. honouring all valid reward redemptions; and

      5. handling any disputes relating to reward redemptions.

    2. We are not responsible for the fulfilment of rewards or any failure by you to honour redemptions. Members’ sole recourse for reward-related disputes is against you.

  4. Programme modifications

    1. You may modify your Loyalty Programme at any time, including changes to programme features and, where applicable, earn rates, redemption values, rewards, and point expiry terms. You are solely responsible for:

      1. providing reasonable notice to Members of material changes;

      2. honouring points earned prior to any modification in accordance with the terms in effect at the time of earning; and

      3. complying with applicable laws regarding programme modifications.

    2. We are not responsible for notifying Members of any changes you make to your Loyalty Programme.

5. MERCHANT OBLIGATIONS

  1. Programme operation

    1. You shall operate your Loyalty Programme in compliance with all applicable laws and regulations, including consumer protection laws and advertising standards.

    2. You shall not:

      1. make false or misleading representations about your Loyalty Programme;

      2. where applicable, impose unreasonable conditions on points earning or reward redemption;

      3. where applicable, retroactively devalue points or rewards without reasonable notice to Members; or

      4. discriminate against Members in a manner that violates applicable laws.

6. MEMBER DATA

  1. Ownership and use of Member Information

    1. You acknowledge that Member Information collected through the Enrolment & Rewards Products includes personal data subject to applicable data protection laws.

    2. Subject to applicable data protection laws and the Platform Terms, you retain ownership of Member Information relating to your Loyalty Programme. You grant us a non-exclusive, royalty-free licence to use such Member Information to:

      1. provide and improve the Enrolment & Rewards Products;

      2. send programme-related communications to Members on your behalf;

      3. generate aggregated, de-identified analytics and insights; and

      4. comply with applicable laws and regulations.

  2. Your data protection obligations

    1. You shall process all Member Information in compliance with the Personal Data Protection Act 2012 (“PDPA”) and any other applicable data protection laws.

    2. You shall not use Member Information obtained through the Platform for any purpose other than:

      1. operating and managing your Loyalty Programme;

      2. communicating with Members regarding their membership and, where applicable, points and rewards; and

      3. marketing communications, provided you have obtained the necessary consents from Members.

    3. You shall implement appropriate security measures to protect Member Information from unauthorised access, use, or disclosure.

7. SERVICE LEVELS

  1. We will use commercially reasonable efforts to ensure the availability and performance of the Enrolment & Rewards Products. However, we do not guarantee uninterrupted or error-free operation of the Enrolment & Rewards Products.

  2. We shall not be liable for any losses arising from:

    1. scheduled maintenance or updates to the Platform;

    2. factors beyond our reasonable control, including internet connectivity issues, third-party service failures, or Force Majeure Events;

    3. your failure to maintain accurate Loyalty Programme information on the Platform; or

    4. where applicable, any discrepancies in points balances or reward redemptions caused by your actions or omissions.
