This Hardware Pricing Schedule (“Schedule”) forms part of and is subject to the Terms of Service (available at https://oddle.me/legal/terms-of-service/) between The Oddle Company Pte. Ltd. (“Oddle”, “we”, “us”, “our”) and the Merchant (“you”, “your”). Capitalised terms not defined herein shall have the meanings ascribed to them in the Terms of Service. In the event of any conflict between this Schedule and the Terms of Service, this Schedule shall prevail to the extent of the conflict with respect to the subject matter herein.

1. DEVICE PRICING

  1. The following devices are available for rental by the Merchant. Pricing varies by jurisdiction and product:

  2. All prices are denominated in the local currency of the Merchant’s jurisdiction of residence as determined in accordance with the Terms of Service.

2. DEPOSIT

  1. A refundable deposit per device (“Deposit”) in the amount specified in Section 1 is payable upon delivery of each device to the Merchant.

  2. The Deposit shall be refunded to the Merchant within thirty (30) calendar days of the return of the device to Oddle, subject to the following conditions:

    1. the device is returned in good working condition, fair wear and tear excepted;
    2. the device is returned with all original accessories and components; and
    3. there are no outstanding Fees or other amounts owed by the Merchant to Oddle.

  3. Oddle reserves the right to deduct from the Deposit any costs reasonably incurred for:

    1. repair of damage to the device beyond fair wear and tear;
    2. replacement of missing accessories or components; and
    3. any outstanding Fees or other amounts owed by the Merchant to Oddle.

  4. If the cost of repair or replacement exceeds the Deposit amount, the Merchant shall be liable for the excess amount, which shall be invoiced separately.

  5. In the event the Merchant fails to return the device within fourteen (14) calendar days of termination or expiry of the Agreement or the relevant service, the Deposit shall be forfeited and Oddle reserves the right to invoice the Merchant for the full replacement cost of the device.

3. RENTAL FEES AND PAYMENT

  1. The monthly rental fee (“Rental Fee”) as specified in Section 1 shall be charged from the date of delivery of the device to the Merchant.

  2. Rental Fees shall be invoiced monthly in arrears together with any other Fees payable under the Agreement, unless otherwise specified by Oddle.

  3. All Rental Fees are exclusive of applicable taxes, which shall be borne by the Merchant.

  4. In the event of late payment, the provisions of Section 6 (Fees and Payment) of the Terms of Service shall apply.

  5. Oddle may modify the Rental Fees in accordance with Section 6.7 of the Terms of Service.

4. DEVICE CARE AND LIABILITY

  1. Title to all devices shall remain with Oddle at all times. The Merchant acknowledges that the devices are rented and not sold, and the Merchant shall not acquire any ownership interest in the devices.

  2. The Merchant shall:

    1. use the devices solely for their intended purpose in connection with the applicable Oddle services;
    2. take reasonable care of the devices and keep them in good working condition;
    3. not modify, disassemble, tamper with, or attempt to repair the devices;
    4. not remove, obscure, or alter any labels, serial numbers, or proprietary markings on the devices;
    5. keep the devices at the designated Merchant Restaurant premises and not relocate them without prior written notice to Oddle; and
    6. notify Oddle promptly of any malfunction, damage, loss, or theft of the devices.

  3. Risk of loss, damage, or theft of the devices shall pass to the Merchant upon delivery and shall remain with the Merchant until the devices are returned to and received by Oddle.

  4. The Merchant shall be liable for all costs of repair or replacement arising from damage, loss, or theft of the devices, except where caused by a manufacturing defect or fair wear and tear.

  5. Oddle shall be responsible for repairs arising from manufacturing defects or normal wear and tear, provided the Merchant notifies Oddle promptly upon discovery of such defects. Oddle may, at its sole discretion, repair or replace the defective device.

  6. The Merchant shall not pledge, charge, encumber, or create any lien or security interest over the devices.

5. SIM CONNECTIVITY (PAYMENT TERMINAL)

  1. Each Payment Terminal is equipped with a built-in SIM card providing cellular data connectivity for the purpose of processing transactions and communicating with the Oddle Platform (“SIM Connectivity”).

  2. SIM Connectivity is provided on a fair usage basis. The Merchant shall use the SIM Connectivity solely for the operation of the Payment Terminal in connection with the Oddle services.

  3. The following activities are not permitted and may constitute a breach of fair usage:

    1. using the SIM Connectivity for purposes unrelated to the operation of the Payment Terminal;
    2. tethering, sharing, or redistributing the SIM Connectivity to other devices or networks; and
    3. any activity that results in data usage that is materially in excess of what is reasonably expected for standard transaction processing.

  4. Oddle reserves the right to monitor data usage and, in the event of a breach of the fair usage terms, to throttle, suspend, or terminate the SIM Connectivity with prior written notice to the Merchant.

  5. The cost of SIM Connectivity is included in the monthly Rental Fee for the Payment Terminal. No additional charges apply under normal fair usage.

  6. Oddle does not warrant uninterrupted or error-free SIM Connectivity and shall not be liable for any loss or damage arising from disruptions to connectivity, including disruptions caused by the telecommunications provider.

6. DEVICE RETURN

  1. Upon termination or expiry of the Agreement, or upon the Merchant ceasing to use the relevant Oddle service, the Merchant shall return the devices to Oddle within fourteen (14) calendar days.

  2. Devices shall be returned in good working condition, fair wear and tear excepted, together with all original accessories and components.

  3. The Merchant shall be responsible for the cost of shipping or delivering the devices to the return address specified by Oddle, unless otherwise agreed in writing.

  4. Oddle shall inspect the returned devices within fourteen (14) calendar days of receipt and notify the Merchant of any deductions to the Deposit in accordance with Section 2.

7. GENERAL

  1. This Schedule shall be governed by and construed in accordance with the governing law applicable to the Terms of Service.

  2. All other terms and conditions of the Terms of Service, including without limitation the provisions relating to indemnity, limitation of liability, confidentiality, and dispute resolution, shall apply to this Schedule.
